Terms of Service

By accessing or using the Devex Hub website (the “Site”), interacting with our AI tools and voice demonstrators, or engaging our engineering and consulting services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Site or services.

These Terms apply to all visitors, clients, partners, and users of Devex Hub Private Limited (“Devex Hub”, “we”, “our”, or “us”).

Devex Hub delivers software engineering, Agentic AI, RAG architectures, full-stack web and mobile development, cloud infrastructure, and digital marketing solutions. Specific project deliverables, timelines, milestones, and commercial terms are detailed in formal Statements of Work (SOW) or Master Service Agreements (MSA) executed between Devex Hub and the client.

Unless otherwise specified in a formal project contract:

• Client Deliverables: Upon full and final settlement of all applicable project fees, full intellectual property rights, source code, repositories, and custom deliverables created specifically for the client are assigned to the client.
• Devex Hub Background IP: Devex Hub retains ownership of pre-existing software modules, proprietary frameworks, workflow accelerators, algorithms, and general engineering methodologies used in delivering services. Clients receive a perpetual, non-exclusive license to use such integrated components within their product.
• Website Content: All branding, graphics, articles, case studies, wordmarks, and website copy remain the exclusive intellectual property of Devex Hub.

Our Site features interactive artificial intelligence agents, including our voice receptionist and chatbot assistant. When utilizing these features:

• You agree not to transmit abusive, unlawful, infringing, or malicious content.
• AI responses are generated dynamically and provided on an “as is” basis for informational inquiries and initial project scoping.
• We may record conversation transcripts and lead contact details submitted during interactions to follow up on your project requirements.

We treat all client project briefs, proprietary data, technical architectures, and business information shared with Devex Hub with strict confidentiality. Both parties agree to protect confidential information using the same degree of care used to protect their own sensitive trade secrets, and execute mutual Non-Disclosure Agreements (NDAs) prior to detailed architecture reviews upon request.

Invoicing schedules, payment currencies (USD, INR, EUR, etc.), milestone releases, and retainer terms are outlined in individual service contracts. Payments are typically due within the net period specified on each invoice. Timely payments ensure uninterrupted engineering support and milestone deployments.

Devex Hub warrants that all software engineering services will be executed in a professional, workmanlike manner adhering to modern engineering standards. Except as explicitly provided in an executed MSA:

To the maximum extent permitted by law, Devex Hub shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data corruption, or business interruption. In no event shall Devex Hub’s aggregate liability exceed the total fees paid by the client under the specific Statement of Work giving rise to the claim.

These Terms and any dispute arising out of or related to our services shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding shall be subject to the exclusive jurisdiction of the competent courts in Mohali / Chandigarh, Punjab, India.
